Annual Compliance for a Cyprus Company: Filings, Levy and Records

The recurring duties of a company: annual return, audited accounts, tax filings, registered office and statutory registers.

This is not legal advice.

Keep statutory registers and the registered office

Maintain registers of members, directors, secretary and charges, and keep a functioning registered office. Report changes in directors, shareholders or address to the Registrar within the deadlines.

Documents required at this step:Statutory registers, notices of change, resolutions

Prepare accounts, audit and tax returns

Cyprus companies keep accounting records and prepare financial statements audited by a licensed auditor. The corporate tax return and related filings are submitted to the Tax Department, with deadlines that your accountant should track.

Documents required at this step:Ledgers, bank statements, audited financial statements

File the annual return and pay the annual levy

File the annual return with the Registrar of Companies and pay the annual company levy. Late filing leads to penalties and, if prolonged, risk of striking off, so set reminders well ahead of the date.

Documents required at this step:Annual return form, levy payment receipt

FAQ

What happens if I stop filing?

Penalties accumulate, directors can face personal liability, and the Registrar may strike the company off. Restoring a struck-off company is costly, so regularise the position early or formally wind the company up.
