Closing a Cyprus Company: Strike-Off or Liquidation

Choose the right route to close a company, settle tax and creditors, and avoid leaving directors exposed.

This is not legal advice.

Decide between strike-off and liquidation

A dormant solvent company with no assets or liabilities can often apply to be struck off. A company with creditors, assets or disputes generally needs a formal voluntary or court liquidation.

Documents required at this step:Latest accounts, list of assets and liabilities, board and shareholder resolutions

Clear tax, filings and creditors

Bring annual returns and tax filings up to date, pay or settle outstanding liabilities and obtain tax clearance. The Registrar and the tax authorities will check that the company is compliant before closing the file.

Documents required at this step:Tax clearance, creditor settlement letters, filing confirmations

File the application and follow publication

Submit the strike-off application or appoint a liquidator as required. Notices are published and objection periods run; only after they pass is the company dissolved, so keep records for the period required by law.

Documents required at this step:Application form, liquidator appointment, publication notices

FAQ

Can I just stop using the company?

Leaving a company dormant without filings keeps obligations and penalties running. Formal closure is cleaner and protects directors from later claims.
